1. Acceptance of Terms

By accessing or using the Gaplyze website and services ("Service"), you agree to be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service. By continuing to use the Service, including after any update to these Terms, you confirm your ongoing acceptance of the Terms as amended.

2. Use of Service

2.1 Permitted Use

You may use Gaplyze solely for lawful personal or business purposes. You agree not to violate any applicable laws or regulations, infringe third-party intellectual property rights, transmit harmful code or malware, attempt unauthorized access to any Gaplyze system or data, interfere with or disrupt the Service or its infrastructure, collect data about other users without their consent, or use the Service for any fraudulent, deceptive, or malicious purpose.

2.2 Account Security

If you create an account, you are solely responsible for safeguarding your credentials and for all activity that occurs under your account. You agree to notify Gaplyze immediately via our contact page upon becoming aware of any unauthorized use of your account.

3. Gaplyze Intellectual Property

All software, algorithms, artificial intelligence models, training data, interfaces, documentation, branding, designs, trademarks, and infrastructure comprising or supporting the Service are owned by or licensed to Gaplyze and are protected by applicable intellectual property laws worldwide. Nothing in these Terms transfers any ownership right in Gaplyze's intellectual property to you. You may not copy, decompile, reverse engineer, disassemble, modify, or create derivative works from any part of the Service without Gaplyze's prior written consent.

4. AI-Generated Outputs

All ideas, business analyses, market intelligence reports, niche suggestions, dive-in analyses, execution roadmaps, domain ratings, web insights, AI-generated follow-up responses, and any other content generated by the Service's artificial intelligence systems (collectively, "AI Outputs") are produced using Gaplyze's proprietary infrastructure, models, and data. Gaplyze retains all intellectual property rights in and to all AI Outputs. You acknowledge that AI Outputs are not original works authored by you and you make no claim of authorship or ownership over them.

Gaplyze grants you a limited, non-exclusive, non-transferable, revocable license to access and use AI Outputs solely for your personal or internal business purposes in connection with the Service. This license does not permit you to resell, sublicense, or commercially distribute AI Outputs as a standalone product or service; to represent AI Outputs as independently authored by you in any manner that could mislead third parties; or to use AI Outputs outside the scope permitted by these Terms.

Gaplyze may use, aggregate, analyze, reproduce, and display AI Outputs — including outputs generated during your sessions — to operate, develop, improve, market, and train AI models for the Service, without restriction and without compensation to you.

5. User Content and Public Content

5.1 Your Inputs

When you provide topics, prompts, descriptions, feedback, or other textual material to the Service ("User Inputs"), you retain ownership of your User Inputs. By providing User Inputs, you grant Gaplyze a worldwide, non-exclusive, royalty-free, sublicensable license to process, store, reproduce, and transmit your User Inputs solely to operate and deliver the Service.

5.2 Public Content

By setting any content to "public" visibility — including but not limited to ideas, niche posts, or any other platform content — you grant Gaplyze an irrevocable, perpetual, worldwide, royalty-free, fully sublicensable and transferable license to reproduce, display, distribute, adapt, create derivative works from, aggregate, and otherwise use such public content for any purpose, including commercial purposes, without any obligation to compensate or notify you. You acknowledge that publicly shared content may be indexed by search engines, aggregated with other content on the platform, and redistributed through any channels Gaplyze operates or partners with.

5.3 Public Profiles

By creating and maintaining a public profile on Gaplyze, you consent to your display name and all publicly-set content associated with your profile — including public ideas and public niches — being displayed on the Service, indexed by search engines, featured in platform showcases and marketing materials, and distributed through any Gaplyze-operated or partner channels, without compensation or further notice to you.

5.4 Content Standards

You represent and warrant that your User Inputs do not infringe any third-party intellectual property rights, do not violate any applicable laws, and are not harmful, deceptive, fraudulent, or unlawful. You are solely responsible for your User Inputs and any consequences arising from them.

6. Third-Party Services

The Service may integrate with or link to third-party websites, APIs, tools, and services. Gaplyze is not responsible for the content, privacy practices, availability, or terms of any third-party service. Your use of any third-party service is governed solely by that service's own terms and policies, and Gaplyze disclaims all liability arising from your use of third-party services.

7. Service Changes and Availability

Gaplyze reserves the right, in its sole discretion, to modify, restrict, suspend, or discontinue any feature, functionality, content, or the entirety of the Service at any time, with or without notice, and without liability to you. Gaplyze may change the features, limits, and terms associated with any subscription plan at any time. Gaplyze may change subscription pricing at any time; for existing paying subscribers, price changes take effect at the next billing cycle following at least 14 days' notice posted on the Service. If you do not agree with any change, your sole remedy is to cancel your subscription before the change takes effect. Your continued use of the Service after any modification constitutes your acceptance of that modification.

8. AI Content Disclaimer

All AI Outputs are provided for informational purposes only and do not constitute — and must not be relied upon as — professional, legal, financial, business, investment, medical, or any other form of regulated advice. AI Outputs may be inaccurate, incomplete, outdated, or unsuitable for your specific circumstances. Market data, competitive intelligence, trend analysis, and other information referenced in AI Outputs reflect the state of available data at the time of generation and may not reflect current conditions. You are solely responsible for any decisions you make based on AI Outputs, and Gaplyze expressly disclaims all liability for any losses, damages, or consequences arising from your reliance on any AI-generated content.

9. Subscriptions, Payments, and Refunds

9.1 Billing

Paid subscriptions are billed in advance on a recurring monthly or annual basis. By subscribing, you authorize Gaplyze and its payment processor (Stripe) to charge your payment method on a recurring basis at the then-current rate until you cancel.

9.2 No Refunds

All charges are final and non-refundable. Gaplyze does not issue refunds or credits for partial subscription periods, unused platform credits, features you did not use, or early cancellations. Upon cancellation, your access to paid features continues until the end of the current billing period; no further charges will occur after that date.

9.3 Price Changes

Gaplyze may change subscription prices at any time. For active paid subscribers, price changes take effect at the next billing renewal following at least 14 days' notice posted on the Service. Continued subscription after a price change constitutes acceptance of the new price.

9.4 Free Plan

The free plan is provided as-is, without warranty or guarantee of continued availability. Gaplyze may modify, restrict, or discontinue the free plan at any time without notice or liability.

10. Disclaimer of Warranties

THE SERVICE, INCLUDING ALL AI OUTPUTS AND ANY OTHER CONTENT OR FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GAPLYZE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. GAPLYZE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, NOR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAPLYZE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR ANTICIPATED SAVINGS, EVEN IF GAPLYZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL GAPLYZE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE LESSER OF: (A) THE TOTAL AMOUNTS PAID BY YOU TO GAPLYZE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTEEN U.S. DOLLARS (USD $15).

12. Indemnification

You agree to indemnify, defend, and hold harmless Gaplyze and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your User Inputs or public content; (d) your violation of any third-party rights; or (e) any misrepresentation made by you.

13. Privacy

14. Modifications to Terms

Gaplyze may revise, update, or replace these Terms at any time, in its sole discretion. Gaplyze is not obligated to provide individual notice of changes beyond posting the updated Terms on this page. Your continued use of the Service after any update constitutes your irrevocable acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Termination

Gaplyze may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms, suspected fraudulent or harmful activity, or for any business or legal reason. Upon termination, your right to use the Service ceases immediately. You may cancel your account at any time through your account settings. Sections 3, 4, 5, 8, 10, 11, 12, and 16 survive any termination or expiration of these Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction where Gaplyze maintains its principal place of business, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless otherwise agreed in writing by both parties.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features of the Service, constitute the entire agreement between you and Gaplyze with respect to your use of the Service and supersede all prior or contemporaneous agreements, communications, and understandings, whether written or oral, relating to the same subject matter.
